SB Prop Question

I had a prop for the superbowl that was 4th down conversion made.
I chose yes and in the 4th quarter the Rams got a 1st down via penalty on 4th down (the holding call on the pat's that negated the fumle return for a TD)...

Is that a win for me???

Does getting the 1st down via penatly constitue a conversion???

My local thinks not, I think so...anyone got a rule book (I'm sure you Pat's fans do...LOL)

Getting a 1st down via the penalty, is not a "conversion".

Just like those yards don't go on a teams rushing/passing stats.
